Bacciardi Partners asiisted the shareholders of AS-AC S.r.l. Ambiente Sicurezza – Analisi Consulenze, a company based in Modena, in the sale of its entire share capital to LabAnalysis HSE Science S.r.l., headquartered in the province of Pavia.
AS-AC S.r.l. was originally established as a professional laboratory specializing in chemical analysis. Over time, it expanded its business to offer comprehensive consultancy services addressing environmental and ecological issues related to workplace health and safety. While the company operates nationwide, it is primarily active in the provinces of Modena, Bologna, and Reggio Emilia.
LabAnalysis HSE Science S.r.l., on the other hand, focuses on research, services, management, consultancy, design, inspections, and prevention in the fields of environmental, food, and ecological hygiene as well as safety. The company is part of the LabAnalysis Group, which has pursued a growth strategy in recent years by completing multiple acquisitions within the sector.
With this transaction, the LabAnalysis Group continues its expansion by integrating AS-AC S.r.l.’s consultancy solutions and client base.
As part of the deal, the selling shareholders will remain actively involved in the management of AS-AC S.r.l., ensuring the preservation of the company’s added value derived from its expertise and high-level specialization developed over the years.
The multidisciplinary team of Bacciardi Partners, based in its Bologna office, assisted AS-AC S.r.l. in:
- identifying and selecting LabAnalysis HSE Science S.r.l. as the optimal investor aligned with the seller’s project objectives;
- negotiating the economic, equity, and financial aspects of the proposed transaction with LabAnalysis HSE Science S.r.l.;
- coordinating the due diligence activities conducted by the team appointed by LabAnalysis HSE Science S.r.l.;
- reviewing, negotiating, and finalizing the letter of intent, other preliminary contractual agreements, the preliminary share purchase agreement, and the contractual terms under which the sellers will remain involved in managing AS-AC S.r.l.;
- handling the Signing and Closing formalities.

- drafting, negotiating, and finalizing the letter of intent, the preliminary share purchase agreement, and the contractual conditions under which the sellers will remain involved in managing AS-AC S.r.l.;
- managing the Signing and Closing formalities.
