All of MESPIC&#8217;s workforce will be retained and enhanced.<br \/>\nThe multidisciplinary team of Bacciardi Partners, operating from the Bologna office, has entirely handled the transaction by:<\/p>\n<ul>\n<li>conceiving the future growth strategy, developing a prospective business plan and finalizing the resulting business valuation;<\/li>\n<li>negotiating the economic and financial elements of the prospective transaction with I.M.A. S.p.A;<\/li>\n<li>interacting with the due diligence team appointed by I.M.A. S.p.A;<\/li>\n<li>reviewing, negotiating and finalizing the letter of intent and further preliminary contractual arrangements, the preliminary agreement for the sale and purchase of equity investments, the shareholders&#8217; agreement, the contractual arrangements signed with key people, and the contractual terms in accordance with Fabio Garavini, that will hold the position of CEO in MESPIC;<\/li>\n<li>managing the signing, interim and closing
