WUBOOK Srl – a company based in Fano and specialised in software solutions for the hospitality sector – and Rivola Group Srl, a company operating in digital systems for the automation of check-in and check-out processes and headquartered in Bergamo, have entered into a strategic agreement aimed at the development, evolution and joint marketing of the new Rivola App, a platform dedicated to the digital management of self check-in for hotels and hospitality operators.

As part of the transaction, Bacciardi Partners and Studio Legale Ghidetti assisted WUBOOK Srl and Rivola Group Srl, respectively.

Bacciardi Partners supported WUBOOK Srl with a multidisciplinary team, covering all corporate and contractual aspects of the transaction.

From the Bologna office, Pier Federico Orciari, Head of Corporate Law at Bacciardi Partners, together with Axl Tosco and Giulia Belardinelli, were involved in:

  • negotiating and regulating the terms and conditions of the contractual joint venture relationship between WUBOOK Srl and Rivola Group Srl, including the drafting of the related ancillary agreements;

  • drafting the articles of association and the shareholders’ agreement of the joint venture company;

  • assisting with the incorporation of the joint venture company, as well as the subsequent share purchase transactions functional to the implementation of the joint venture.

Tommaso Mancini, Head of International Commercial Law at Bacciardi Partners, from the Pesaro office, handled the drafting and structuring of the trademark licence agreements and the software licence agreements, ensuring a framework consistent with the development, distribution and market valorisation requirements of the technological solution.

The transaction was completed at a particularly significant moment of evolution involving administrative law, hospitality and tourism regulation, and digital commerce. It was essential to legally translate the intention and the needs of the stakeholders to create a cutting-edge entity capable of generating value in a constantly growing sector such as tourist accommodation.
